SmartChat Consulting Services – Terms & Conditions END USER LICENSE AGREEMENT (EULA) Last Updated: October 10th, 2024 SmartChat Consulting Services, a company registered in [Company Location, Address], is the sole owner and developer of the platform SmartChat.space (“Platform”). Our Platform provides WhatsApp business messaging and chatbot solutions for commercial use. This End User License Agreement (“EULA” or “Agreement”) governs the relationship between you (“End User,” “Subscriber”) and SmartChat Consulting Services (“we,” “us,” or “our”) and covers all aspects of using our Platform and Services. By accessing or using any part of SmartChat.space, you accept the terms of this EULA. 1. END USER WARRANTIES By agreeing to this EULA, you confirm that you: 1.1 Are a legally recognized business entity with the capacity to enter into this binding Agreement. 1.2 Will use SmartChat.space solely for legitimate business purposes and adhere to all applicable local and international laws, including those prohibiting multi-level marketing, gambling, human trafficking, and other illegal activities. 1.3 Acknowledge compliance with the WhatsApp Business terms of service, alongside other messaging policies relevant to the Services offered through our Platform. 2. GRANT OF LICENSE Subject to your compliance with the terms, we grant you a non-exclusive, non-transferable, and revocable license to use the Platform for the selected Subscription Plan. This license permits access solely for the intended use of business messaging solutions as per your Subscription Plan. 3. SUBSCRIPTION TERMS 3.1 Subscription Plans – Subscription options and associated fees are provided on our [Pricing Page](Insert Pricing URL). By purchasing a Subscription, you agree to be billed in advance for the entire Subscription Term. 3.2 Automatic Renewal – Your Subscription renews automatically unless canceled prior to the end of the current term. Renewal charges will be processed according to your chosen payment method. 3.3 Refunds – Except where required by law, all Subscriptions are non-refundable. 3.4 Termination – We reserve the right to terminate or suspend your access for any breach of this EULA. 4. END USER OBLIGATIONS 4.1 You agree not to sublicense, rent, lease, or otherwise transfer your rights in the Platform or use it to host or transmit illegal content. 4.2 You assume full responsibility for ensuring that your Administrative Users comply with this EULA and your Subscription limits. 5. USER DATA & CONTENT 5.1 You own all rights to your content and data (collectively, "User Data"). By using our Platform, you grant us permission to host, process, and transmit User Data as necessary to provide Services. 5.2 You acknowledge responsibility for securing all consents necessary for processing any Personal Data contained in User Data and that we are not responsible for backing up your User Data. 6. SERVICE WARRANTIES 6.1 Our Platform is provided on an “as-is” basis, with no express or implied warranty of uninterrupted service. 6.2 We disclaim all liability for service interruptions arising from third-party issues, including WhatsApp API disruptions or internet service provider issues. 7. LIMITATION OF LIABILITY In no case shall SmartChat Consulting Services be liable for any indirect, incidental, punitive, or consequential damages, including lost profits or data. Our total liability in any event will be limited to the total fees paid by you during the twelve (12) months preceding the incident. 8. INTELLECTUAL PROPERTY All intellectual property rights in the Platform, including trademarks, copyrights, and source code, remain the exclusive property of SmartChat Consulting Services or its licensors. You acquire no rights to use any branding or intellectual property without prior written consent. 9. DISPUTE RESOLUTION & GOVERNING LAW 9.1 This EULA will be governed by the laws of [Your Company Location’s Jurisdiction]. 9.2 In the event of unresolved disputes, the matter shall be settled through binding arbitration in accordance with the [Arbitration Center’s Name and Jurisdiction]. 10.
